EMUN SaaS Terms of Use
Effective Date: The date you first create an account, check the box indicating acceptance, or access the Services (“Effective Date”). These Terms of Use (“Agreement”) govern your (“Customer,” “you,” or “your”) use of the software-as-a-service platform and related services (collectively, the “Services”) provided by Incorporated, an Alabama corporation with offices at 105 S. Marion St, Athens, Alabama 35611(“Provider,” “we,” or “us”).
By creating an account, checking the box, or otherwise accessing or using the Services, you agree to this Agreement. If you are using the Services on behalf of a company or organization, you represent that you have authority to bind that entity, and “Customer” refers to that entity.
1. Access and Use
Grant
Subject to these Terms, Provider grants you a non-exclusive, non-transferable right to access and use the Services for your internal business purposes during the term of your subscription.
Restrictions
You may not: (i) copy, modify, or create derivative works of the Services; (ii) resell, sublicense, or make the Services available to third parties except as expressly permitted; (iii) reverse engineer or attempt to derive source code; or (iv) use the Services in violation of law or to infringe the rights of others.
Account Responsibility
You are responsible for all activity that occurs under your account, including by your employees, contractors, or agents.
2. Fees and Payment
Fees, if applicable, are set forth at the time of your order or subscription. You agree to pay such Fees in accordance with the payment terms presented. Unpaid amounts may result in suspension or termination of Services.
3. Customer Data
You retain all rights to the data you submit to the Services (“Customer Data”). You grant Provider a license to use Customer Data as necessary to provide the Services and to create aggregated and anonymized statistics. Provider will not disclose Customer Data except as required to provide the Services or by law.
4. Intellectual Property
The Services, software, and related materials are owned by Provider and its licensors. Except for the limited rights expressly granted here, all rights are reserved.
5. Availability and Support
Provider will use commercially reasonable efforts to maintain availability of the Services. Scheduled maintenance and downtime may occur. Basic support is provided in accordance with Provider’s standard practices.
6. Warranty Disclaimer
The services are provided “as is.” provider disclaims all warranties, express or implied, including any warranties of merchantability, fitness for a particular purpose, or non-infringement.
7. Limitation of Liability
To the maximum extent permitted by law, provider’s total liability arising out of or relating to this agreement shall not exceed the fees paid by customer in the twelve (12) months preceding the claim. In no event shall provider be liable for indirect, incidental, consequential, or punitive damages.
8. Term and Termination
This Agreement begins on the Effective Date and continues until terminated. Either party may terminate at any time by providing written notice. Upon termination, your access to the Services will cease, and you must discontinue all use.
9. Governing Law
This Agreement is governed by the laws of the State of Alabama, without regard to conflict-of-law rules. The parties consent to the exclusive jurisdiction of courts located in Huntsville, Alabama.
10. Miscellaneous
Entire Agreement
These Terms are the entire agreement between you and Provider regarding the Services.
Amendments
Provider may update these Terms from time to time. Continued use of the Services after changes become effective constitutes acceptance.
Notices
Provider may send notices to the email associated with your account.
Conflicting Agreements
If you have entered into a separate written agreement with EMUN Incorporated governing your use of the Services, that agreement will control to the extent it conflicts with these Terms. In all other cases, these Terms apply.
